We have the right, in our sole discretion, to suspend or terminate your use of our Service and refuse any and all current or future use of all or any portion of our Service. Additional eligibility requirements for a particular group activity (“Activity”) may be set by the organizer, co-organizer, assistant organizer, activity creator or leader (an "Organizer").
By requesting to use, registering to use, and/or using the Service, you represent and warrant that you have never been convicted of a felony and/or are not required to register as a sex offender with any government entity. Semblii does not currently conduct criminal background screenings on its members. However, Semblii reserves the right to conduct any criminal background check, at any time and using available public records, to confirm your compliance with your representations and warrants above. By agreeing to these terms and conditions, you hereby authorize any such check.
User Account. If you create a user account and profile, you are responsible for maintaining the security of your account and profile, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the profile. You must not describe or assign keywords to your profile in a misleading or unlawful manner, including in a manner intended to trade on the name or reputation of others, and Semblii may change or remove any description or keyword that it considers inappropriate or unlawful, or otherwise likely to cause Semblii liability. You must immediately notify Semblii of any unauthorized uses of your profile, your account or any other breaches of security. Semblii will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
Definition. "Your Information" is defined as any information post or other material you provide (directly or indirectly), including through the registration process for Semblii or an Activity, or through the use of our Service, in any public message board (including the personal introduction section of each topic group, or paid services of the Semblii apps and website) or through email. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of your Public Information (as defined below).
Any of Your Information that, through the use of our Service or otherwise, you submit or make available for inclusion on publicly accessible areas of our website is referred to as "Public Information" (your name (if provided) and location are considered Public Information); any other portion of Your Information shall be referred to as "Private Information." "Publicly accessible" areas of our website are those areas that are available either to some or all of our users (i.e., not restricted to your viewing only) or to the general public.

We also may disclose any information about you to law enforcement or other government officials as we, in our sole discretion, believe necessary or appropriate, in connection with an investigation of fraud, intellectual property infringements, or other activity that is illegal or that we believe may expose us or you to legal liability.
Control. You, and not Semblii, are entirely responsible for all of your Public Information that you upload, post, email, transmit or otherwise make available via our Service. We do not control your Public Information or the Public Information of or posted by other users and do not guarantee the accuracy, integrity or quality of Your Information or the Information of or posted by other users. Nor do we endorse any opinions expressed by you or other users. You understand that by using our Service, you may be exposed to information that is offensive, indecent or objectionable. We do not have any obligation to monitor, nor do we take responsibility for, Your Information, Public Information or information of or posted by other users. You agree that under no circumstances will Semblii, its subsidiaries and parent companies, and each of their officers, directors, shareholders, agents, employees, consultants, affiliates, subsidiaries and third-party partners be liable in any way for any information, including, but not limited to, for any errors or omissions in Your Information or the Information of or posted by other users, or for any loss or damage of any kind incurred as a result of the use of Your Information or Information of or posted by other users posted, emailed, transmitted or otherwise made available in connection with our Service, or for any failure to correct or remove information.
Grounds for Removal, Sanction and/or Suspension.
Notwithstanding any other provision of this Agreement, the following types of actions are cause for immediate removal, repeal and/or suspension or termination of your account:
(a) The use of our Service to (including, without limitation, eligibility requirements):
(i) harm or intimidate another person in any way, including restricting or inhibiting any other user from using our Service; (ii) impersonate any person or entity (including Semblii, Semblii staff and other users), or falsely state or otherwise misrepresent your affiliation with any person, through the use of similar email addresses, nicknames, or creation of false account(s) or any other method or device; (iii) disguise the origin of any Public Information that is transmitted to any third party; (iv) "stalk" or otherwise harass another; (v) advertise merchandise, auctions, services or commercial websites, including offers to trade or charitable solicitations unrelated to the topic or spirit of Semblii; (vi) resell Public Information or access to Public Information; or (vii) collect or store personal data about other users;
(b) Posting any Public Information or other material:
(i) that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, intimidating, vulgar, obscene, profane, libelous, invasive of another's privacy (including the posting of private emails or contact information about another individual), hateful, or racially, ethically or otherwise objectionable, including any Public Information or other material that may be considered hate speech; (ii) that is obscene, pornographic or adult in nature; (iii) that you do not have a right to make available under any law or under contractual or fiduciary relationships; (iv) that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party or rights of publicity or privacy; (v) that is unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation (including, but not limited to, "spam," "junk mail," and "chain letters"); (vi) that is inappropriate, posted in bad faith, or contrary to the spirit of Semblii; (vii) that uses the Service primarily as a lead generator or listing service for another website;
(c) Encouraging others to violate this Agreement;
(d) Refusing to follow Semblii staff instruction or direction;
(e) Violation (intentional or unintentional) of this Agreement, or of any applicable local, state, national or international law, statute, ordinance or regulation;
(f) Disclose the Private Information of any user of a Semblii without the permission of that user.
Also, your posting of other inappropriate actions, Public Information or other materials may also warrant removal and/or suspension from our website. Semblii reserves the right to remove any post or other material without warning or further notice.
While we prohibit such conduct and content, you understand and agree that you nonetheless may be exposed to such conduct or content and that you use the Service and attend Meetings at your own risk.
For purposes of this Agreement, "posting" includes uploading, posting, emailing, transmitting or otherwise making available. Without limiting the foregoing, Semblii and its designees shall have the right to remove any Public Information or other material that violates this Agreement or is otherwise objectionable.
Interference with the Service.
You agree that you will not:
(a) upload, post, email, or otherwise transmit any computer routines, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
(c) take any action that imposes an unreasonable or disproportionately large load on our infrastructure; or
(d) copy, reproduce, alter, modify, or publicly display any information displayed on our website (except for Your Information), or create derivative works from our website (other than from Your Information), to the extent that such action(s) would constitute copyright infringement or otherwise violate the intellectual property rights of Semblii or any other third party, except with the prior written consent of Semblii or the appropriate third party.
General Practices Regarding Use of the Service. You acknowledge and agree that we may establish general practices and limits concerning the use of our Service. You agree that we have no responsibility or liability for the storage or the deletion of, or the failure to store or delete, any of Your Information. You acknowledge that we reserve the right to log off users who are inactive for an extended period of time. In addition, you acknowledge that we reserve the right to change these general practices and limits at any time, in our sole discretion, with or without notice.
Other Users. We do not control the information provided by other users, which is made available through our system. You may find other users' information to be offensive, harmful, inaccurate or deceptive. Please use caution and common sense when using our website. Please note there is a risk that you may be dealing with underage persons or people acting under false pretense.
General. Access to our website and use of selected features of our Service is free unless otherwise stated.
Fees Assessed by Organizers; Payments to Organizers. Some Organizers may require or request fees for participation or for attendance in an Activity. These fees are at the discretion of each Organizer, who decides whether such fees are required, the amount frequency, payment options, refund policies, and how such fees are spent. You may also have the option to make voluntary contributions to particular Organizers. Fees assessed by Organizers are remitted to the Organizer and not to Semblii. To the extent that you use PayPal or another payment mechanism (e.g., check or cash), to pay fees assessed by an Organizer, you acknowledge that Semblii does not control the transaction, and that you bear all risk in connection with the transaction. Refunds of any payment you make to any Organizer are subject to that Organizer's policies and applicable law. If you believe any payment to an Organizer is in error, you must contact the Organizer to seek resolution. You should use common sense and be careful in deciding whether to make a payment to an Organizer. Organizers have full discretion on whether and how to spend money in connection with their Activity. We cannot ensure that an Organizer is legitimate and truthful, that he or she will use payments as promised, or that you will be happy with how your payment is spent. Your correspondence or business dealings with, or participation in promotions of an Activity, including payment and related services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the applicable Organizer.
Meetings. Through our Service we provide tools that enable our users to arrange physical meetings or activities (“ Meetings") at venues that include, but are not limited to, public parks, private homes or private enterprises (such as coffee shops or retail stores). We do not supervise these Meetings and are not involved in any way with the actions of any individuals at these Meetings. As a result, we have no control over the identity or actions of the individuals who are present at these Meetings, and we request that our users exercise caution and good judgment when attending these Meetings.
Release. Because we do not supervise or control the Meetings or interactions among or between users and other persons or companies, and because we are not involved in any way with physical transportation to or from Meetings or with the actions of any individuals at Meetings, and because we do not control PayPal, credit card companies or other payment processing companies, and because we cannot guarantee the true identity, age, nationality of users, and because we have very limited control, if any, over the quality, safety, morality, legality, truthfulness or accuracy of various aspects of the Service you agree that you bear all risk and you agree to release us (and our officers, directors, shareholders, agents, employees, affiliates, subsidiaries, and third party partners) and Organizers and their designees from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, now and in the future, arising out of or in any way connected with your use of the Service, your Third Party Transactions, our resolution of any disputes among users, and/or your transportation to or from, attendance at, or the actions of you or other persons at, Meetings. We may use your email address to send you messages notifying you of important changes to the Service or special offers. Further, we may contact you by telephone if you voluntarily provide us with your telephone number, in order to communicate with you regarding the Service.
The Service may provide, or third parties may provide, links to other web sites or resources. Because we have no control over such sites and resources, we are not responsible for the availability of such external sites or resources, and we do not endorse and are not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. We are not liable for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
You agree to indemnify and hold harmless Semblii, its subsidiaries and parent companies, and each of their officers, directors, shareholders, agents, employees, consultants, affiliates, subsidiaries and third-party partners from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of your representations and warranties or this Agreement or the documents it incorporates by reference, your use of the Service, Your Information, your violation of any law, statute, ordinance or regulation or the rights of a third party, your participation in an Activity, or your participation as an Organizer (whether the claim or demand is due to or arising out of your transportation to or from, attendance at, or the actions of you or other users).
THE SERVICE IS PROVIDED "AS IS". SEMBLII AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. NEITHER SEMBLII NOR ITS SUPPLIERS AND LICENSORS, MAKES ANY WARRANTY THAT THE SERVICE WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED. YOU UNDERSTAND THAT YOU DOWNLOAD FROM, OR OTHERWISE OBTAIN CONTENT OR SERVICES THROUGH, THE SERVICE AT YOUR OWN DISCRETION AND RISK.
IN NO EVENT WILL SEMBLII, OR ITS SUPPLIERS OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT FOR SUBSTITUTE PRODUCTS OR SERVICES; (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA; OR (IV) FOR ANY AMOUNTS THAT EXCEED THE FEES PAID BY YOU TO SEMBLII UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION. SEMBLII SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY DUE TO MATTERS BEYOND OUR REASONABLE CONTROL. THE FOREGOING SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
Right to Seek Injunction. Violation of this Agreement may cause Semblii irreparable harm, and therefore you agree that Semblii will be entitled to seek extraordinary relief in court, including but not limited to temporary restraining orders, preliminary injunctions and permanent injunctions without the necessity of posting a bond or other security, in addition to and without prejudice to any other rights or remedies that Semblii may have for a breach of this Agreement.
Miscellaneous. This Agreement constitutes the entire agreement between Semblii and you concerning the subject matter hereof, and this agreement may only be modified by a written amendment signed by an authorized executive of Semblii, or by the posting by Semblii of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Service will be governed by the laws of California, United States, excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in Orange County, California. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. ('JAMS') by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in Orange County, California, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys' fees. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under this Agreement to any party that consents to, and agrees to be bound by, its terms and conditions; Semblii may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns.
This Agreement will remain in full force and effect while you use the Service. Semblii may terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement, you may simply discontinue using the Service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
Semblii reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Semblii shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. To protect the integrity of the Service, Semblii reserves the right at any time in its sole discretion to block users from certain IP addresses from accessing the website or Service.
Semblii reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Service following the posting of any changes to this Agreement constitutes acceptance of those changes. Semblii may also, in the future, offer new services and/or features through the Service (including, the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.
This Agreement does not transfer from Semblii to you any Semblii or third party intellectual property, and all right, title and interest in and to such property will remain (as between the parties) solely with Semblii. Semblii logo, and all other trademarks, service marks, graphics and logos used in connection with the Service are trademarks or registered trademarks of Semblii or Semblii's licensors. Other trademarks, service marks, graphics and logos used in connection with the Service may be the trademarks of other third parties. Your use of the Service grants you no right or license to reproduce or otherwise use any Semblii or third-party trademarks.
If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible on the Service, please notify Semblii at firstname.lastname@example.org as set forth in the Digital Millennium Copyright Act of 1998 (DMCA). For your complaint to be valid under the DMCA, you must provide the following information in writing: 1. An electronic or physical signature of a person authorized to act on behalf of the copyright owner; 2. Identification of the copyrighted work that you claim is being infringed; 3. Identification of the material that is claimed to be infringing and where it is located on the Service; 4. Information reasonably sufficient to permit Semblii to contact you, such as your address, telephone number, and e-mail address; 5. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and 6. A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner. Information you provide to us. We may collect and store any personal information you enter on our website or on a mobile application, or provide to us in some other manner. Text Messages. We may also contact you by telephone or text message (including to any wireless number you may provide to us) solely in connection with Semblii’s services. If you would rather not receive text messages from us, you may change or delete your number from the Service, or ask to be removed from our contact list if you receive a call or text message from us. We fully comply with the requirements of the U.S. CAN-SPAM Act.
Push Notifications. We send you push notifications if you choose to receive them, letting you know when someone has sent you a message, or for other service-related matters. If you wish to opt-out from receiving these types of communications you may turn them off at the device level.
Information Regarding Your Friends. We encourage you to refer a friend to our Service by sending us a friend’s name and email address. We will keep this information in our database, and send that person a one-time e-mail containing your name and inviting them to visit our Service. This e-mail will also include instructions on how to remove their information from our database. You agree that you will not abuse this feature by entering names and addresses of those who would not be interested in Semblii’s services.
Information we collect automatically.
Website Visit. We automatically collect information when you visit our websites. We collect your IP address and browser header (version and type of browser) in a log file. We also collect your Internet service provider (ISP), referring/exit pages, platform type, date/time stamp, and number of clicks.
We may also automatically collect certain Information through the use of "cookies" or web beacons. These are small files that your browser places on your computer. Login. We collect some Information each time you log in to Semblii, including but not limited to: your geographic location (specified by latitude and longitude), your IP address and the MAC address of the device you are using. We may collect all of the above Information automatically as part of the log in process.
Sign up via Facebook. We may collect the following Information when you sign up for Semblii via your Facebook account: your name, your email address, your Facebook profile picture, your gender, your birthday, how many Facebook friends you have, your Facebook ID and a timestamp. We may collect all of the above information automatically as part of the Facebook sign up process. If you want us to delete the data we receive from Facebook about you, please contact us at firstname.lastname@example.org.
Social Media. As indicated above, we may provide you with the option to connect your Semblii account to your account on a social networking site for the purpose of logging in, uploading information or enabling certain features on the Service. By connecting your Semblii account to your account on any social networking site, you consent to the continuous release of information about you from the social networking site to Semblii while the accounts remain connected.
Add Friends. We collect the following Information when you add friends, either via your Facebook account or your address book: If you choose to add a friend through your device’s address book, we collect your friend’s name, phone number and/or email address. If you choose to add friends through Facebook, we access your friend’s Facebook name and Facebook ID. When inviting friends from your address book or your Facebook account, you must manually choose each person that you want to invite; we do not "auto-invite" your entire address book or set of Facebook friends. We collect all of the above information automatically as part of the process of adding friends.
Chat. We collect the following information when you use our chat or message board feature: the text of your chat session, any content you have shared in the chat session and a timestamp.
Location Data. When you access the Service, we may access, collect, monitor and/or remotely store "location data," which may include GPS coordinates (e.g. latitude and/or longitude) or similar information regarding the location of your device. In addition to the uses outlined above, by using Semblii, you agree to allow us to anonymously use the Information from you and your experiences, so that we may continue to improve the Semblii experience. This research may be published in our blogs or interviews. However, all of your responses will be kept anonymous, and we assure you that no personal information will be published.
Service Providers. We may share your information with our third-party service providers that support various aspects of our business operations (e.g., analytics providers, security and technology providers, and payment processors).
